Terms of Service

The following terms and conditions (the Terms) explain how you (the User) can access and use the unitedplugins.com website (the Website), operated by MeldaProduction s.r.o. (MeldaProduction) at WWW address http://unitedplugins.com with all content and functionality provided by the Website, as a guest User or a registered User.

By using the Website and when clicking "I accept your Terms of Service" if that option is presented to you, you accept and agree to adhere to these Terms, our Privacy Policy and our Cookie Policy.

The purpose of the Website is to facilitate the ability for Users to view information about our products, purchase the products and manage Licences. When referring to Software, we mean both the Audio Plugins offered on the Website (for purchase or for free), the management/installation tool (UnitedPluginsManager) and any other software utilities available to download from the Website.

Please note that these Terms don't apply to using the Software available to download through the Website, which has its own End User Agreement which you need to agree to upon Software installation.

Right to use the Website

MeldaProduction grants you a personal, non-exclusive right to use the Website. The Website is a property of MeldaProduction or its 3rd party providers. The Website is protected by trademark, copyright and other Czech, EU and foreign laws.

Licencing

Licence Types

We provide two licencing models for our products. They differ mainly in the way the Licence is used to activate a product.

Standard Licence

Standard Licence is represented by a Licence File that holds encrypted information about the User purchasing the Licence and the purchased Product. Standard Licence is tied to the specific User and can be transferred.

Product Key Licence

Product Key Licence is represented by unique Product Key. As opposed to the Standard Licence, it's not tied to a specific User but to the Product Key itself.

Free-for-Life Updates

We provide free-for-life updates for all of our Products. This means Users will never need to pay to upgrade the Software. Updates are applied automatically when released, and Users receive new Software Products added to bundles they own at no extra charge.

Same applies to bundles. If User owns a Licence for a bundle Product, new Products added to the bundle after the Licence purchase will be automatically available to the User.

Trial Versions and Activation

Our Software is available as a fully-functional 15-day trial version, after which the plugins switch to demo mode with limitations. After this period, a User needs to purchase a Licence and activate the Software for full functionality to be restored.

There are two main activation methods:

  • online activation: by entering User's email and password
  • by drag&dropping the Licence File into an activation box in the Software interface.

Licence Transfer

User may transfer a Licence they own to a different User using the Website. Licence transfer is initiated by authenticating with a password and entering the email of the receiving User. The receiving User has to have a User Account.

When initiated, a special item is added to the shopping cart representing the transfer, priced at 20% of the current store price of the transferred Product and a normal Checkout process is followed.

Any active Standard Licence without a special status can be transferred.

Licence Status

Licence may have a special status, limiting handling of the Licence, especially its ability to be transferred to a different User. The special status of the Licence is either acquired implicitly (implied by User's special status) or explicitly (by us setting the status manually):

  • NFR: Stands for "Not For Resale". Usually issued to partners or acquired during special promotions.

  • EDU: Stands for "Educational". Users who have an EDU status themselves get EDU Licences for a discounted price. We can set the EDU status for Users that qualify by proving that they are eligible educational end Users, such as full or part-time students and employees of government-certified educational institutions.

  • Personal: Same as EDU, aimed for low income end Users from selected countries.

Purchasing

Payment

When User clicks 'Checkout with FastSpring' in their shopping cart, they are redirected to FastSpring's secure payment gateway and the actual payment is processed by the payment gateway (provided by Bright Market, LLC, dba FastSpring, https://fastspring.com)

Payment transaction is considered finalized by us when it's considered finalized by FastSpring. Our server is automatically notified on a successful payment and Licences for the purchased Products are generated for the User. There is a time delay which can be anywhere between a few seconds to a few days depending on the payment method used.

FastSpring provides multiple payment methods, mainly (but not limited to) Debit/Credit card, PayPal and ApplePay. The list of payment methods can be updated in the future.

Refund Policy

Refunds can only be requested for Licences that were not yet activated. Licence gets activated on any of the following conditions:

  • Licence File was downloaded
  • Licence was activated online from the Software using User's email and password.
  • Product Key was used in the Software (applies to Product Key Licences, see Licence Types)

Activated Licences are not eligible for a refund. On individual basis, partial refund may be granted too.

Product Pricing

We reserve the right to price all Products available to purchase on the Website as we see fit. Product price is subject to change at any time and Users have no right to request a specific price to be applied to them.

Store Price vs. Checkout Price

Store Price is the price User sees on the Website. User Store Price is a store price specific to a given User. Internally, the store price is always denoted in EUR, but User might choose to view it in a different currency (see Currency Conversion below).

Checkout Price is the price the User is actually charged by the payment gateway. We are not responsible for the Checkout Price to be the same as the (User) Store Price. Payment gateway might use their own currency conversion.

Checkout Price is the final price, VAT included if applicable.

Currency Conversion

Base Product prices are denoted in EUR. Users may choose to use a different currency from a provided list (User Currency) when using the Website and in such case, the following rules are applied:

  • All prices are converted from EUR to the User Currency on-the-fly. Product price is always represented as EUR until it is a) displayed on the Website or b) passed to the payment gateway.
  • Third party service https://openexchangerates.org is used to convert prices from EUR to other currencies and the exchange rates are synchronized periodically. We have no responsibility for the actual conversion rate of any currency.
  • Prices are passed to the payment gateway in User Currency. For the payment gateway, this only serves as a preferred currency. The payment gateway itself may do additional conversions based on User's individual conditions (especially, but not limited to the currency their bank account uses).
  • By making the purchase, User accepts the final price as presented by the payment gateway.

Product purchase price is fixed at the point of adding the Product to the shopping cart. The same exact price is then passed to the payment gateway (provided by FastSpring).

Price Rounding

Prices, when presented to Users or used in checkout, are always presented as integers, rounded down. For example, Product with base price of 29 EUR and a 50% discount will be priced at 14 EUR. Price rounding is applied as a last operation. Before that, for currency rate conversion and discounts calculation, prices are represented as floating point numbers.

Discounts

Prices can be decreased by various discounts. They can be applied under different circumstances: site-wide, for specific Products, for specific Users, etc.

Special Discounts

Users with EDU or Personal status have all Products automatically discounted. See Licence Status for more information.

Product Discounts

Product prices may be reduced for limited periods of time during promotional events. We clearly indicate the discount amount and temporal validity on the Website. We still reserve the right to change any such setup at any time.

Upgrade Discount

Some Products we offer for purchase are a collection of multiple Licences (they are called Bundles). User owning some of the Licences included in the Bundle are eligible for a discount.

The Bundle price for a specific User is proportional to the sum of the owned Licence prices as compared to all included prices. For example, if a Bundle, priced at 100 EUR, contains Products A, B and C priced at 40 EUR, 60 EUR and 80 EUR respectively, and the User already owns Products A and B, the Bundle price will be (40+60)/(40+60+80) * 100 = 55

To see the discounted price, the User has to be signed in.

Other Discounts

Users may apply additional discounts during checkout, either implicitly or by an explicit User action:

  • Coupon Discount: relative or absolute discount that might be limited to a specific Product or a specific User. It can also be limited in the number of times it can be used by all Users in sum or by a specific User.
  • Credit Discount: absolute price reduction in a 1 Credit = 1 EUR ratio. See Credits and Referral Program for details
  • Referral Discount: relative discount applied when using a Referral Coupon with a first purchase. See Credits and Referral Program for details
  • Free Gift: specific Product's price might be reduced to zero when purchased along with a different specific Product.

When multiple discounts are applied they are applied in the following order:

  1. Upgrade Discount
  2. Product Discounts and special discounts (EDU, Personal), whichever is the best
  3. Absolute discounts (Credit, Coupon, ...)
  4. Relative discounts (Coupon, ...)

3rd Party Vendors

We have no responsibility of how 3rd Party Vendors (aka Resellers) price our Products.

User Accounts

User may create a User Account (aka "Register" or "Sign Up") to manage their Licences. User is required to create a User Account to make purchases on the Website and to use some of the provided services (online activation) in the Software. User Account is identified by an email and protected by a password.

User Account can be created implicitly when User does not have one at the time of purchase. User will receive information on how to activate such Account by email.

Required Information

We require a User to enter their contact information for the Licence model to work (see Standard Licences). The information may also be passed to our payment partner as specified in our GDPR document.

Namely we require the following information:

  • email,
  • full name,
  • address (street address, city, zip code, country)

On registration, we require Users to accept our Privacy Policy and Terms Of Service.

Deleting an Account

User may make a request to delete their User Account (in accordance with GDPR). Such request has to be done via email and has to be sent from the email address used during registration. We delete User Accounts manually after careful review.

Login Session

User may Sign In on the Website and gain access to their Licence information and additional Account and Licence management features. By Signing In, a User Session is created, identified by a Cookie (an Essential Cookie, see Cookie Policy for details). This Login Session is not shared with any 3rd Party service and solely serves the purpose of maintaining a client/server User Session.

Session expires (i.e. User is automatically logged out) after 20 minutes, or 14 days if the User checked the "Keep me signed in" option when signing in.

User might end the Session, or Sign Out, manually at any time.

Changing User Information

User may update their information through the web interface. Any information except for the email can be changed freely. Email can only be changed through a specific function (Change e-mail) and needs to be explicitly confirmed by our customer support team. The request may be denied in rare cases, with an appropriate explanation.

We are monitoring all User information changes and can take action, including Licence or Account suspension, on case of activity which violates our licencing terms.

Newsletter Sign-Up

User might sign up for our newsletter. This information is stored independently on the User Account and may also be independently removed by unsubscribing from the newsletter.

Additional Features

Redeeming a Licence Key

User may use a Licence Key, purchased from a 3rd Party Vendor (typically a plugin aggregator e-commerce website) and use it to create a Standard Licence (aka "Redeem a Licence Key"), either through the Website or directly in the Software.

We have no responsibility for 3rd Party websites to provide valid Licence Keys and User should carefully evaluate the service before purchasing. Any issues regarding invalid Licence Keys need to be discussed with 3rd Party service first.

Account Merge

Each end User should only have one User Account with unitedplugins.com. For Users that accidentally created multiple Accounts, we provide the Account Merge functionality. We may refuse to merge multiple Accounts created intentionally (instead we may delete such Accounts).

User may initiate Account Merge of Account B to Account A by signing into Account A and providing the Account B credentials (email/password) too. All Account Merge requests are reviewed by our customer support team and explicitly accepted or denied. In case of a denial a reason is provided. On success, a confirmation message is sent to Account A's registered email.

Credits and Referral Program

Credits are special points that can work as an absolute discount in the shopping cart. The value of 1 Credit is exactly 1 Euro. Credits used in a shopping cart are deducted from User's balance.

User may receive Credits in several ways:

  • By referring new Users (see Referral Program for details).
  • By signing up for a newsletter
  • By making a purchase (cashback)

Please note that the listed Credit sources is only an example, is subject to change and the options don't have to be enabled at all times. User is not guaranteed to receive Credits for any action and not receiving Credits is not a valid cause for compensation of any sorts.

Credits don't represent an actual currency and may not be converted to one. We reserve a right to deduce any Credit balance at any time.

Referral Program

Each User is generated a unique Referral Coupon when creating a User Account. Different Users may then use this Referral Coupon during their first checkout (receiving a discount themselves) and 10% of the total final purchase net value (after applying all discounts including the Referral Coupon discount) is credited to the Credit balance of the User owning that Referral Coupon.

Example: User B applies a Referral Coupon XYZ belonging to User A during their checkout of base price 100 EUR. 20% Coupon discount is applied making the net value of the purchase 80 EUR. User A receives 8 Credits after successful payment.

Modifications

We can update these Terms anytime at our discretion. When we make a significant change, you'll see an "updated" label next to the "Website Terms" link in the footer. This label stays for 30 days or until you view the updated Terms—whichever comes first. Be sure to check them before using the Website.

If you disagree with any part of these Terms or can't comply with them, stop using the Website. By continuing to use the Website after changes, you accept the updated Terms. Make sure to review them regularly to stay informed.
